Cellanome Site Use Agreement

Cellanome provides you with access to and use of its website (“Site”) and the content included therein. Your access and use of the Site is at all times subject to the following terms and conditions (“Terms”). Please read all of these Terms carefully, as your continued use of this Site will indicate that you have read and understood these Terms and that you agree to be bound by all of these Terms. Access to and use of certain portions of this Site may be subject to additional terms and conditions to those provided below, including Cellanome’s Privacy Policy. The Terms are subject to change without notice, and your use of the Site will indicate your agreement to be bound by the Terms then provided in this section of the Site. Please read these terms regularly upon accessing the Site to understand the current Terms. If you do not wish to be bound by these Terms, please exit this Site immediately.

1. General Terms of Use

Cellanome hereby grants you a limited, non-exclusive license to use the contents of this Site, including but not limited to all text, data, graphics, software, video, and animation contained on the Site (collectively “Content”), solely for the purpose of obtaining information about Cellanome, its products and services (“Purpose”), and all other uses are expressly prohibited.

You may not copy, display, distribute or modify any Content of the Site without the express written consent of Cellanome. Notwithstanding the foregoing, you may download Content from the Site to any single computer solely for the Purpose described above, and provided that you maintain all copyright, trademark and other legal notices intact, and comply with any additional terms and conditions that may apply to such Content, including without limitation, any applicable end-user license agreements.

The Content of this Site may be protected, in whole or in part, by intellectual property laws of the United States and other countries, including but not limited to copyright, trademark and patent laws. Cellanome trademarks are the sole property of Cellanome and are subject to legal protection in the United States and/or certain other countries. All other trademarks are the sole property of their respective owners. Except for the limited license provided above, no right or license is granted or implied to use any copyrighted Content or trademarks (registered or unregistered) of Cellanome or any third party. The use of these trademarks or any other materials, except as permitted herein, is expressly prohibited and may be in violation of federal or other applicable laws. Nothing on this Site constitutes any grant of license, or offer to grant a license of any kind, express or implied, under any patents owned or licensed by Cellanome, and any and all implied licenses under any such patents are expressly disclaimed.

In accessing this Site, you agree that you will not: (1) take any action that in any way interferes with or imposes any unreasonable burden upon the Site or its normal operation; (2) attempt to decipher, decompile, disassemble, or reverse engineer any of the software available upon or underlying the operation of the Site; (3) delete or alter in any way any Content on the Site; (4) post any unlawful, indecent, defamatory, obscene, scandalous, inflammatory, pornographic, or profane materials to the Site; (5) post any proprietary, confidential or private information of any third party without having first obtained all licenses and/or approvals; (6) reproduce, disclose, or rely upon any content, data, functionality, or materials available on this website—including but not limited to text, images, code, algorithms, processes, or technical descriptions—for the purpose of alleging or asserting patent infringement against Cellanome, its affiliates, officers, employees, or agents, or assisting any third party in any legal or administrative proceeding involving patent infringement claims against Cellanome; and (7) post any material the posting of which will give rise to criminal or civil liability under the laws of the jurisdiction from which you are posting, the laws of the State of California, and/or the laws of the United States. Cellanome reserves the right under these Terms and Cellanome Privacy Policy, to disclose the identity of anyone violating the foregoing provisions to relevant law enforcement agencies whenever it is legally obliged to do so, or to otherwise protect the interests of Cellanome.

Unless otherwise expressly provided, nothing on this Site constitutes any offer or invitation to conduct business in any jurisdiction, and any implied offers are expressly disclaimed.

Except as expressly provided elsewhere herein, on the Site, or in a separate written agreement with Cellanome, any feedback, comments, ideas, or other submissions you make to Cellanome about the Site or Cellanome’s products and services (“Submissions”) will be treated as non-confidential and non-proprietary. Accordingly, you represent and warrant that you will not include any proprietary or confidential information in your Submissions, and that any Submissions shall become the property of Cellanome. Cellanome handles any personal information you provide in accordance with its Privacy Policy.

2. Disclaimer of Warranties and Limitation of Liability

Cellanome provides access to, and Content on the Site on an “as is” basis, and makes no warranties, express or implied, of any kind with respect to the Site or its Content. Without limiting the foregoing, Cellanome specifically excludes and disclaims any warranties or representations as to the accuracy, completeness, timeliness, relevance, objectivity or fitness for any particular purpose of any of the Content, or that any of the Content on the Site does not infringe the intellectual property rights of third parties. Cellanome makes no warranties or representations that the Site or its Content, including but not limited to downloadable Content, will run or display properly on your computer or that such Content is free from viruses, ad-ware, or other destructive programs or features, that may infect your computer, when accessing this Site or the Content thereof, or any websites linked to this Site.

Your access to and use of the Site and its Content is at your own risk, and Cellanome, its officers, directors, employees, agents, contractors and affiliates will not be liable, and assume no liability, on any basis, for any direct, indirect, incidental, consequential, punitive or special loss or damages, arising out of your access to and use of the Site, whether such damages arise under tort (including negligence), contract, or any other theory of liability.

This Site is operated by Cellanome, Inc., from its headquarters in Foster City, California, U.S.A., and Cellanome makes no representations or warranties that access to and use of the Site from other countries is possible, appropriate, or legal in such other countries. By accessing this Site, you acknowledge that you are doing so at your own risk, and you represent and warrant that you are in compliance with all laws and regulations of the jurisdiction from which you are accessing the Site.

In addition to the foregoing, and to the extent permitted by law, Cellanome expressly disclaims and excludes any and all warranties, representations, liabilities, and obligations, express or implied, of any kind (including but not limited to any conditions of satisfactory quality, fitness for a particular purpose, or use of reasonable skill and/or care), which might otherwise be implied or incorporated into these express terms and conditions, whether by statute, law or otherwise.

3. Copyright Infringement

Cellanome respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Cellanome at legal@cellanome.com with the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the copyrighted work that you claim has been infringed;
  • A description of where the material that you claim is infringing is located on the Site;
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • Your address, telephone number, and email address;
  • A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

4. Indemnification

You agree to defend, indemnify, and hold harmless Cellanome, its officers, directors, employees, agents, contractors and affiliates, from and against any claims, actions, demands or suits, including, without limitation, reasonable attorneys’ fees, arising from your access to and use of the Site and Content, or any other breach of the Terms.

5. Governing Law

These terms and conditions shall be interpreted according to the laws of the State of California, without regard to its conflicts of laws provisions, and the laws of the United States of America. Any action arising from access to or use of the Site, and/or involving these terms and conditions, shall be brought in the state courts in the State of California, County of San Mateo, or in the United States District Court for the Northern District of California, and you hereby consent to jurisdiction of such courts in any such action.

6. Termination

Cellanome may, in its sole discretion, modify, restrict, or terminate this agreement, any of the Terms, and/or your continued access to and use of the Site and its Content, at any time and without notice or liability.

Privacy Policy

Cellanome, Inc. (“Cellanome,” “our,” “us,” or “we”) respects the privacy of all visitors and users that visit our website or utilize our online services, and is committed to protecting and respecting your privacy and ensuring that your Personal Information is processed fairly and lawfully in accordance with applicable data protection laws, including the EU General Data Protection Regulation (“GDPR”), the UK General Data Protection Regulation (“UK GDPR”), the Swiss Federal Act on Data Protection (“FADP”), and the Personal Information Protection Act of the Republic of Korea (“PIPA”). This Privacy Policy (“Policy”) describes the data practices of Cellanome, Inc., including how we collect, use, disclose, and protect Personal Information collected through our website www.cellanome.com (the “Site”) and in our business dealings with you.

Please take the time to read this Policy carefully to understand what Personal Information we collect, why we collect it, how we use it, and your choices related to your information. We may change our Policy from time to time. Should our Policy undergo any material changes, an updated version will be posted on the Site with a revised Effective Date. Any modifications to this Policy will be effective upon our posting the new terms. Your continued use of our Site after the posting of any revised Policy modifications indicates your acceptance of the terms of the modified Policy.

1. Personal Information and What We Collect

We may collect Personal Information when you visit or interact with our Site, interact with our business, correspond with us by phone, e-mail, or otherwise, or when you inquire about or apply for employment opportunities at Cellanome. “Personal Information” is information that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with you or your institution. We may collect Personal Information about you when you provide it to us, when you interact with the Site, or when other sources provide it to us.

Information You Provide to Us

In order to take advantage of the Site, you may be asked to provide certain Personal Information. For example, we may collect:

  • Contact Information such as your name, title, company, mailing address, email address, phone number, password, and any other information you choose to provide to us.
  • Other Personal Information you choose to provide, such as when you participate in a survey, register for an event, or request technical or consumer support.
  • Marketing and communication data, which tells us your preference in receiving marketing from us and our third parties and your communication preferences.

2. Personal Information We Collect Automatically when Accessing or Using Our Site

When accessing the Site, we automatically collect the following information from your computer or other electronic device:

  • Internet Activity and Service Usage Information, such as operating system, browser type, language, referring URLs, access times, pages viewed, links clicked and other information about your activities on the Site.

Where required by law, including for visitors in the EU and UK, we use cookies other than Essential Cookies only with your consent, which you may give or withdraw at any time through the cookie banner or the privacy link in the footer of the Site, which opens our cookie preference center. You can also modify browser settings to block cookies, but doing so may limit access to certain features. The Site does not currently respond to browser “Do Not Track” signals.

  • Approximate location information derived from your IP address.
  • Profile and Inference Information, such as your preferences and characteristics.
  • We may also collect data from public or commercially available sources, as permitted by law.

Most information on our Site is accessible without registration. However, some services may require that you fill out forms. Information requested may include your name, contact details, and preferences for specific Cellanome products or services.

10. Your Rights to Delete Personal Information

You can request deletion of your information by contacting us. We will verify identity before processing. If deletion is denied, we will explain why.

11. Children’s Privacy Policy

Our Site is not intended for users under 18. We do not knowingly collect information from minors.

12. Automated Decision-Making and Profiling

We do not make decisions based solely on automated processing that produce legal or similarly significant effects on you. We may use analytics to personalize your experience on the Site, and you may object to this use.

13. Additional Information for Users in the EU, UK, and Switzerland

Cellanome, Inc. is the controller of Personal Information collected through the Site.

Legal Bases. We process Personal Information to respond to your requests and to perform contracts with you or your institution; for our legitimate interests in operating, securing, and improving the Site, marketing our products to business contacts, and recruiting, which we balance against your rights; to comply with legal obligations; and, for cookies other than Essential Cookies and otherwise where required by law, with your consent.

International Transfers. We are based in the United States. Personal Information you provide through the Site or in your dealings with us is collected directly by Cellanome and processed in the United States. Where we receive Personal Information from organizations in the EU, UK, or Switzerland, we rely on the European Commission’s Standard Contractual Clauses or the UK or Swiss equivalent. You may request a copy by contacting privacy@cellanome.com.

Your Rights. Subject to the GDPR, UK GDPR, and FADP, you have the right to access, rectify, or erase your Personal Information; to restrict or object to its processing; to data portability; and to withdraw your consent at any time without affecting processing carried out before withdrawal. You also have the right to lodge a complaint with the data protection authority where you live or work. To exercise your rights, contact privacy@cellanome.com.

14. Additional Information for Users in the Republic of Korea

This section applies to Personal Information of individuals in the Republic of Korea and supplements the rest of this Policy as required by PIPA.

Items and Purposes. We process the Personal Information described in Sections 1 through 3 for the purposes described in Section 4.

Retention and Destruction. We retain Personal Information until the purpose for which it was collected has been achieved, unless a longer period is required by law, and then destroy it without delay. Electronic files are deleted using methods that prevent recovery, and paper records are shredded.

Provision to Third Parties. We provide Personal Information to third parties only as described in Section 5, as permitted by PIPA, or with your consent.

Entrustment of Processing. We entrust the processing of Personal Information to the following service providers: Webflow, Inc. (website hosting), Google LLC (website analytics), Greenhouse Software, Inc. (job applications), and Finsweet, Inc. (cookie consent), Salesforce, Inc. (CRM), and Substack, Inc., Salesforce, Inc. (email marketing providers).

Overseas Transfer. Your Personal Information is transferred to the United States as follows:

  • Recipients: Cellanome, Inc. and the service providers listed above (contact: privacy@cellanome.com)
  • Country: United States
  • Items: the Personal Information described in Sections 1 through 3
  • Time and method: transmitted over the internet when collected
  • Purpose: the purposes described in Section 4
  • Retention: as described under Retention and Destruction above

You may refuse the overseas transfer by contacting privacy@cellanome.com. If you do, we may be unable to respond to your inquiries or provide our products and services.

Your Rights. You may request access to, correction or deletion of, or suspension of processing of your Personal Information, and may withdraw your consent, by contacting privacy@cellanome.com. We will respond within the period required by PIPA.

Security Measures. We protect Personal Information through administrative, technical, and physical measures, including internal access controls, encryption, and employee training.

Remedies. You may also seek assistance from the Personal Information Infringement Report Center (privacy.kisa.or.kr, 118), the Personal Information Dispute Mediation Committee (www.kopico.go.kr, 1833-6972), the Supreme Prosecutors’ Office (www.spo.go.kr, 1301), or the Korean National Police Agency Cyber Bureau (ecrm.police.go.kr, 182).
